Legal & Policies — Effective May 2026
Our Terms
These Terms and Conditions govern the relationship between MOD. Productions, a DBA of G5 Custom LLC, a Florida limited liability company, and the individual or entity purchasing automation workflow services. By engaging MOD. Productions for any service, the Client agrees to be bound by these terms.
Scope of Work
Project Deliverables
MOD. Productions agrees to design, build, and deliver fully functioning automation workflows as outlined in the agreed-upon project scope confirmed prior to or at the time of payment. The one-time build fee covers initial workflow design, configuration, third-party API and OAuth integration, and delivery of a visual workflow representation showing connected nodes and their functions. Pricing is determined by the complexity of the build and will be communicated to the Client prior to payment.
Monthly Maintenance Subscription
The flat monthly maintenance fee covers: monitoring of existing workflows for errors or failures, minor node-level adjustments to existing logic (up to two changes per month), fixes to errors caused by platform or API updates, and general upkeep to keep workflows current and operational. Maintenance does not include building new workflows, adding new third-party integrations that constitute a new workflow, or redesigning existing workflow logic from the ground up.
Zero-Downtime Updates
All changes and updates are built and tested on a separate staging workflow. The Client's live workflow remains fully active during this process. Once the updated workflow is confirmed to be working correctly, it is seamlessly exchanged with the live version. The Client will experience no interruption to their automation during any update or change.
Out-of-Scope Work
Any work outside the agreed project scope — including new workflows, additional integrations that constitute a new build, or structural redesigns — will be scoped, quoted, and billed separately as a new build fee. No out-of-scope work will begin without written approval from the Client.
Client Cooperation
The Client agrees to provide timely access to all necessary tools, credentials, and information required to complete the project. Delays caused by the Client's failure to provide required access may result in adjusted delivery timelines at no fault of MOD. Productions.
Payment & Refund Terms
Feasibility Confirmation
MOD. Productions will confirm the technical feasibility of the requested workflow prior to requesting any payment. No deposit or payment will be collected until MOD. Productions has verified that the workflow can be built using the Client's existing tools and integrations.
Build Fee Payment
Upon confirmation of feasibility, the full one-time build fee is due upfront before any work begins. By submitting payment, the Client acknowledges they have reviewed and agreed to the project scope as communicated by MOD. Productions.
Refund Policy — Build Fee
If MOD. Productions determines a workflow is not buildable prior to payment being collected, no charge will be applied and no refund is necessary. If the Client cancels after payment has been made and work has begun, a 50% refund will be issued to account for time and work already invested. Once the workflow has been fully built and delivered, no refund will be issued under any circumstance.
Monthly Subscription Billing
Monthly subscription fees are billed on a recurring basis and are non-refundable once payment is processed. Each payment secures the Client's service for the full billing cycle. No prorated refunds will be issued for early cancellation within a billing period.
Missed Payments & Deactivation
In the event of a missed monthly payment, MOD. Productions will issue a written warning to the Client. If payment is not received within one (1) business day of the warning, the Client's workflow will be deactivated. Reactivation requires payment of any outstanding balance prior to work resuming.
Termination
Termination by Client
The Client may cancel their monthly subscription at any time by simply discontinuing payment. The workflow will remain active through the current billing cycle and will be deactivated following a missed payment per the process outlined above. No formal written notice is required from the Client.
Termination by MOD. Productions
MOD. Productions reserves the right to terminate services with fourteen (14) days written notice to the Client for any reason, including but not limited to business changes, inability to maintain service, or Client behavior that makes the working relationship untenable.
Immediate Termination for Cause
MOD. Productions reserves the right to terminate services immediately and without notice if the Client is found to be using automation workflows for any illegal, fraudulent, unethical, or harmful purpose. No refund will be issued in cases of termination for cause.
Effect of Termination
Upon termination of services for any reason, the Client's workflow will be deactivated and access to all automation services provided by MOD. Productions will cease. No data, workflow logic, or configuration will be transferred to the Client upon termination.
Intellectual Property
Ownership of Workflows
All automation workflows, logic, node configurations, and technical structures built by MOD. Productions remain the exclusive intellectual property of MOD. Productions (G5 Custom LLC), regardless of the Client's payment or duration of service. The Client's payment grants access to the service and its outputs — not ownership of the underlying workflow or its architecture.
Client's Visual Representation
The Client may be provided with a visual representation of their workflow showing connected nodes and their general functions. This view is intentionally limited and does not expose backend logic, credentials, or full configuration details. The Client may share this visual representation freely, as it does not constitute disclosure of proprietary workflow architecture.
No Transfer of Workflow
Under no circumstances will MOD. Productions transfer, export, or hand over workflow files, configurations, or logic to the Client or any third party upon termination or cancellation of services. Workflows are deactivated and retained solely by MOD. Productions.
Data Handling, Security & Liability
No Data Storage
MOD. Productions does not collect, store, or retain any client or end-user data as part of its workflow automation services. All data processed through automation workflows passes transiently through third-party platforms and is directed exclusively to destinations designated by the Client. MOD. Productions functions solely as a workflow configuration and integration service provider.
Third-Party Platform Responsibility
All data storage, security, and privacy obligations associated with the Client's data are governed by the terms and privacy policies of the third-party platforms used, including but not limited to Google, Slack, Notion, Airtable, and similar services. MOD. Productions makes no representations or warranties regarding the security practices of these platforms and shall not be held liable for any data breach, loss, or unauthorized access that occurs at the platform level.
Client Responsibility for Credentials
The Client is solely responsible for the security of any API keys, OAuth tokens, login credentials, or access permissions provided to MOD. Productions for the purpose of building and maintaining workflows. The Client agrees to revoke access immediately upon termination of services. MOD. Productions will not store credentials beyond operational necessity and will not share them with any unauthorized third party.
Limitation of Liability — Data Breach
MOD. Productions shall not be held liable for any data breach, unauthorized access, data loss, or data corruption arising from: (a) vulnerabilities or incidents within third-party platforms; (b) the Client's failure to maintain secure credentials; (c) data the Client elects to route through automated workflows; or (d) any force majeure event beyond MOD. Productions' reasonable control.
No Guarantee of Security
While MOD. Productions takes reasonable precautions in the configuration of all workflows, no automation system can be guaranteed to be 100% secure. The Client acknowledges this inherent limitation and agrees that MOD. Productions' liability for any security-related incident shall not exceed the total fees paid by the Client in the three (3) months preceding the incident.
Governing Law
Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the courts located in Osceola County, Florida, and the parties hereby consent to the personal jurisdiction and venue therein.
Dispute Resolution
Good Faith Negotiation
In the event of any dispute arising out of or relating to this Agreement, the parties agree to first attempt resolution through good faith negotiation. Either party may initiate this process by providing written notice of the dispute to the other party.
Mediation
If good faith negotiation fails to resolve the dispute within fourteen (14) days of written notice, the parties agree to submit the dispute to non-binding mediation in Osceola County, Florida before pursuing any legal action. The cost of mediation shall be shared equally between both parties.
Limitation of Liability
Liability Cap
To the maximum extent permitted by applicable law, MOD. Productions' total liability to the Client for any claims arising out of or related to this Agreement — including but not limited to workflow failure, service interruption, data loss, or loss of business — shall not exceed the total fees paid by the Client to MOD. Productions in the three (3) months preceding the claim.
Exclusion of Consequential Damages
In no event shall MOD. Productions be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to this Agreement or the services provided, even if MOD. Productions has been advised of the possibility of such damages.
Privacy Policy
Information Collected
We collect your name, email, business name, and any information shared during onboarding or discovery conversations.
How It Is Used
Your information is used solely to deliver services, communicate about your project, and send invoices. It is never sold or shared with third parties.
Third-Party Tools
Clients may be connected to third-party platforms such as Gmail, Slack, Notion, Google Sheets, and similar services as part of their workflow. Each platform governs its own data under its own privacy policy.
Data Retention
Client information is retained for the duration of the working relationship and up to one year after termination for record-keeping purposes.
Client Data Inside Workflows
MOD. Productions may access client data such as emails, messages, or documents strictly as needed to build and maintain workflows. This data is never accessed beyond what is necessary and is never shared with any outside party.
MOD. Productions reserves the right to update these terms at any time. Continued use of services following any update constitutes acceptance of the revised terms. Nothing on this page constitutes legal or financial advice — consult a licensed professional for matters requiring legal guidance.
